These Terms shall automatically apply to all current and future brands, applications, domains, websites, software products, campaigns, dashboards, affiliate systems, cashback systems, APIs, tools, and digital properties launched, acquired, operated, partnered, marketed, or managed by SYR Mediaworks Private Limited without requiring separate agreements unless specifically stated otherwise.

These Terms apply to all users, visitors, customers, affiliates, advertisers, merchants, vendors, freelancers, influencers, agencies, partners, clients, contractors, employees, and third-party users accessing any related platform or service.

7. ACCEPTABLE USE POLICY

  • Abuse cashback systems or affiliate systems
  • Attempt unauthorized access to systems

  • Infringe intellectual property rights
  • Engage in spam, phishing, or deceptive practices

Violation may result in account suspension, legal action, financial penalties, or permanent bans.


8. AFFILIATE MARKETING TERMS

For affiliate marketing services and systems:

  • Affiliate tracking depends on third-party systems and cookies.
  • Commission approval is subject to merchant and affiliate network validation.
  • We do not guarantee commissions, conversions, approvals, or earnings.
  • Fraudulent transactions may result in cancellation of commissions.
  • Affiliate payouts may be delayed due to merchant validation timelines.
  • Users are responsible for complying with merchant-specific terms.

9. CASHBACK TERMS

For cashback platforms and reward systems:

  • Cashback tracking is dependent on affiliate systems and merchant validation.
  • Cashback may fail due to ad blockers, VPNs, browser settings, technical failures, or tracking interruptions.
  • Cashback approval timelines vary by merchant.
  • We reserve the right to reverse cashback in cases of cancellations, refunds, fraud, abuse, or merchant rejection.
  • Fraudulent activity may result in permanent suspension.
  • Minimum withdrawal thresholds may apply.

10. PAYMENTS & BILLING

Users agree to pay all applicable fees, charges, taxes, and invoices.

  • Payments may be processed through third-party payment providers.
  • Invoices must be paid within agreed timelines.
  • Late payments may attract penalties or service suspension.
  • Taxes including GST may apply.
  • Refunds are subject to applicable refund policies.

We reserve the right to recover outstanding dues through legal remedies.


11. REFUND POLICY

  • Marketing, advertising, consulting, and service fees are generally non-refundable.

  • Chargebacks or fraudulent payment disputes may result in account restrictions and legal action.

12. INTELLECTUAL PROPERTY RIGHTS

All trademarks, logos, software, systems, content, creatives, reports, graphics, code, databases, APIs, dashboards, and materials are owned by or licensed to SYR Mediaworks Private Limited.

Users shall not:

  • Reverse engineer software
  • Resell services without authorization

Unauthorized usage may result in legal action.


13. USER CONTENT

Users retain ownership of content submitted by them.

18. DISCLAIMER

19. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • SYR Mediaworks Private Limited shall not be liable for indirect, incidental, punitive, consequential, or special damages.
  • We shall not be responsible for losses arising from platform outages, third-party actions, merchant decisions, affiliate network decisions, cyberattacks, tracking failures, or technical interruptions.
  • Maximum liability shall not exceed the amount paid by the user for relevant services.

Users use our services at their own risk.


20. INDEMNIFICATION

Users agree to indemnify and hold harmless SYR Mediaworks Private Limited, its directors, employees, affiliates, contractors, vendors, and partners against any claims, liabilities, damages, losses, penalties, or legal expenses arising from:

27. DIGITAL ADVERTISING & MEDIA BUYING TERMS

For advertising, media buying, and campaign management services:

  • Advertising platforms including Google, Meta, TikTok, LinkedIn, Microsoft, Snapchat, X (Twitter), and third-party ad exchanges operate independently.
  • Advertising account approvals, suspensions, restrictions, policy violations, or bans are controlled by the respective platforms.
  • We do not guarantee ad approvals, ad reach, conversions, engagement, ROI, ROAS, sales, or business growth.
  • Campaign performance may fluctuate due to algorithm changes, competition, audience behavior, platform policies, seasonal changes, or technical limitations.
  • Clients are responsible for ensuring that advertisements, creatives, landing pages, offers, claims, and products comply with applicable laws and platform advertising policies.
  • We reserve the right to reject campaigns involving illegal, misleading, fraudulent, harmful, adult, restricted, prohibited, or non-compliant content.
  • Advertising spend paid directly to third-party platforms is generally non-refundable.
  • Campaign timelines and results may vary depending on platform approval processes and market conditions.

28. LEAD GENERATION TERMS

For lead generation campaigns and services:

  • Lead quality may vary depending on audience targeting, market demand, campaign optimization, platform policies, and user behavior.
  • We do not guarantee conversions, purchases, appointments, closures, or revenue generation from leads.
  • Clients are responsible for timely follow-up, lead nurturing, sales handling, and conversion management.
  • Duplicate, fake, low-intent, invalid, or spam leads may occasionally occur despite filtering measures.
  • Lead data usage must comply with applicable privacy and data protection laws.
  • Users and clients shall not misuse lead data for unlawful communications, spam, harassment, or unauthorized solicitation.

29. SOFTWARE, SAAS & API TERMS

For SaaS tools, APIs, dashboards, software systems, automation tools, and technical platforms:

  • Access may be subscription-based, usage-based, invitation-based, or enterprise-restricted.
  • Users shall not reverse engineer, decompile, replicate, duplicate, exploit, or misuse any software, API, automation workflow, codebase, or dashboard.

  • Influencer collaborations depend on third-party creators, audience response, and platform behavior.
  • Users and clients are responsible for ensuring that campaign content complies with advertising disclosure laws and platform guidelines.
  • We are not responsible for influencer misconduct, audience backlash, copyright claims, or platform penalties resulting from third-party actions.

31. RECRUITMENT & EMPLOYMENT TERMS

For recruitment systems, hiring portals, HR operations, and talent acquisition services:

  • Applicants are responsible for accuracy of resumes, qualifications, certifications, and employment records.
  • We do not guarantee employment, interviews, offers, placements, or compensation packages.
  • Background verification, eligibility checks, compliance verification, and hiring decisions may be conducted by employers or third-party agencies.
  • Fraudulent applications, fake documentation, impersonation, or misleading information may result in blacklisting and legal action.

32. E-COMMERCE & MERCHANT TERMS

For merchant integrations, e-commerce systems, marketplaces, and transaction-related services:

  • Product pricing, stock availability, shipping timelines, cancellations, and refunds are controlled by respective merchants or sellers.
  • We are not responsible for product defects, delivery failures, merchant disputes, warranty claims, or service deficiencies of third-party sellers.

  • Affiliate commissions and cashback rewards may depend on successful order completion and merchant approval.

33. COMPLIANCE WITH INDIAN LAWS

Users agree to comply with all applicable Indian laws and regulations including but not limited to:

  • Information Technology Act, 2000
  • Consumer Protection Act, 2019
  • Intellectual property laws

34. CYBERSECURITY & FRAUD PREVENTION

We reserve the right to monitor platform activity, transactions, campaigns, traffic, referrals, user behavior, and technical interactions for fraud prevention, abuse detection, policy enforcement, legal compliance, cybersecurity monitoring, and operational integrity.

Activities that may trigger investigation or restriction include:

  • Fake traffic generation
  • Bot activity
  • Suspicious referrals
  • Unauthorized automation
  • Fraudulent cashback behavior
  • Account manipulation
  • Spam or phishing attempts
  • Unauthorized scraping
  • Security testing without authorization

We may suspend accounts, withhold payouts, reverse rewards, block access, or report activities to authorities where necessary.


35. ELECTRONIC COMMUNICATIONS

By using our services, users consent to receiving electronic communications including:

  • Emails
  • Notifications
  • Invoices
  • Legal notices
  • Marketing messages
  • OTP verification messages
  • System alerts
  • Transactional communications

Electronic communications shall satisfy legal communication requirements where permitted under applicable law.


36. SURVIVAL OF TERMS

Clauses relating to intellectual property, payments, indemnification, liability limitations, dispute resolution, confidentiality, compliance obligations, fraud prevention, and governing law shall survive termination of services or accounts.


37. SEVERABILITY

If any provision of these Terms is held invalid, unlawful, or unenforceable, remaining provisions shall continue in full force and effect.


38. WAIVER

Failure to enforce any provision of these Terms shall not constitute waiver of any rights or provisions.


39. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional agreements, constitute the complete agreement between users and SYR Mediaworks Private Limited regarding use of services.
